Subject: UKNM: Advice on Selling Shares In a website to 'the public'

Hi,
Any lawyers / investment specialists out there?

We started a 'community' website as a demonstration project that has great
commercial potential but to exploit it would detract from our core business.
We have considered 'spinning it off' into a separate company and selling it
as a whole or selling shares in it to members of the community who visit.
Obviously if you meet someone you are free to ask them if they want to
invest
in your business but what are the rules if you want to go wider than that.
FT say that they no longer allow postings inviting investment as it breaks
some rule but I can't see why it can't be done.
Anyone know a legal format for announcing / inviting small investors?
