Here's a tip:  Go to www.ntcompatible.com, and look down to about half 

the page.  It says to upgrade to 4.02 (which you did), then go to 

http://www.adaptec.co.jp/pub/directcd/301/DCD301Up.exe (6.5MB).  It says 

directcd, and it's in japanese, but it's right.  Download that, extract 

it, then run Update.exe.  That's in English, and it will update from 4.02 

to 4.02b.  It also says this is the officially supported version for Win 2K.
