I'd make a big black rectangle (it'll need to be a symbol) and put it on
it's own layer above the rest of your movie. Then tween the alpha of that
shape from 100% to 0% over a distance of whatever time you'd prefer (a short
time would be best--something around 1 or 2 seconds). If you were going to
do lotsa fade-ins you should probably make a movie clip out of it, then just
drag into one frame.
