I;m using a matrox Millenium II 4mb PC and a STB 4400 AGP 32MB (STB is
primary)

just for the record... did you check you motherboard bios and make sure the
chipset features are set to AGP to be primary? I had the same problem as
you as my primary was set to PCI, but I only had AGP the board is smart
enough to switch to AGP. When adding a second card, the board thought I
really wanted the PCI to be primary so did as its told. I uninstalled the
driver for the millenium II, rebooted, set the Asus bios to set AGP as
primary, rebooted and all was cool after the driver install.
